Role Summary
The General Counsel (“GC”) is the chief legal officer of Legion Technologies and a key member of the executive leadership team. This role is responsible for:
Leading Legion’s global legal, intellectual property, and corporate functions
Serving as a strategic partner to the CEO, executive team, and Board of Directors
Building and scaling a high-performing legal organization that supports Legion’s next phase of growth, globalization, and product innovation
The GC will own the company’s overall legal strategy across commercial/SaaS, privacy and data protection, AI governance, labor and employment, corporate governance, IP, regulatory compliance, and risk management.( Legion )
Key Responsibilities
1. Legal Strategy & Leadership
Develop and execute a comprehensive legal strategy that aligns with Legion’s business objectives and growth plans in AI-powered workforce management.
Advise the CEO, executive team, and Board on key legal, regulatory, and governance matters, including risk, compliance, fundraising, and strategic transactions.
Build, lead, and mentor a high-performing in-house legal team; manage external counsel efficiently across specialties and jurisdictions. Establish scalable processes, templates, and playbooks to support rapid go-to-market and partnership execution.
2. Corporate Governance & Financing
Serve as corporate secretary for Legion Technologies and its subsidiaries; manage all Board and committee governance processes, including agendas, materials, minutes, and consents.
Oversee corporate structure, subsidiary management, and global entity compliance.
Support equity and debt financings, including negotiations with investors, diligence, and ongoing compliance with investor rights and governance frameworks.
Partner with Finance and People teams on equity plan administration, stock option programs, and related disclosures.
3. Commercial, Product & Partnership Counsel
Own legal support for Legion’s commercial operations, including:
Enterprise SaaS subscriptions and professional services agreements
Requirements
- ·J.D. degree from an accredited law school and membership in good standing with at least one U.S. state bar.
- ·15+ years of combined experience in top-tier law firm and in-house roles, with significant time as General Counsel, Chief Legal Officer, or senior deputy GC at a high-growth technology or SaaS company.
- ·Deep experience advising on:
- ·Enterprise SaaS and commercial contracting
- ·Corporate governance and venture-backed/private equity-backed company issues
